1.1 This Tutor Agreement ("Tutor Agreement") supplements and forms part of the TutuTap Terms of Use and all documents incorporated therein, including the Privacy Policy, Safety & Community Standards, and Subscription Terms.
1. APPLICATION AND ACCEPTANCE
1.1 This Tutor Agreement ("Tutor Agreement") supplements and forms part of the TutuTap Terms of Use and all documents incorporated therein, including the Privacy Policy, Safety & Community Standards, and Subscription Terms.
1.2 This Tutor Agreement applies to you if you submit a tutor application, complete onboarding, create or maintain a tutor profile, respond to enquiries, deliver lessons arranged through the Platform, subscribe to a tutor plan (e.g. Pro), participate in referral or incentive programmes, or otherwise use tutor-facing features.
1.3 By applying or using tutor features, you agree to this Tutor Agreement. If you do not agree, do not apply and do not use tutor features.
1.4 If there is a conflict between this Tutor Agreement and the general Terms of Use on a tutor-specific matter, this Tutor Agreement prevails to the extent of the conflict.
2. INDEPENDENT SERVICE PROVIDER — NOT EMPLOYEE OR AGENT
2.1 You are an independent tutor and independent contractor. You are NOT an employee, worker, agent, partner, joint venturer, or franchisee of X Operators Group.
2.2 Nothing in this Tutor Agreement creates an employment relationship, agency relationship, or authority for you to bind TutuTap. You may not represent yourself as an employee or authorised representative of TutuTap.
2.3 You control your rates, availability, subjects, teaching methods, and acceptance or rejection of enquiries, subject to Platform rules, these terms, and applicable law.
2.4 You are solely responsible for:

2.5 TutuTap does not withhold taxes, provide employee benefits, or guarantee minimum income, hours, or student volume.

- (c) compliance with immigration, employment pass, student pass, and
- (d) equipment, materials, and internet connectivity for your services;
- (e) your own business expenses and record-keeping; and
- (f) all aspects of lesson delivery and parent/student relationships.
3. PLATFORM ROLE — MARKETPLACE ONLY
3.1 TutuTap operates an online marketplace facilitating discovery and communication between independent tutors and parents. TutuTap is NOT a tuition agency, school, employer, or guarantor of your income, student count, matches, or outcomes.
3.2 Unless expressly stated in writing for a specific feature, TutuTap is not a party to tuition contracts between you and parents.
3.3 Parents generally pay you directly for tuition unless a TutuTap payment feature is expressly enabled. TutuTap does not guarantee payment collection on your behalf in the direct-payment model.
3.4 Search ranking, visibility, badges, and matching algorithms are discretionary Platform features. They do not guarantee enquiries, bookings, profile views, or revenue.
4. ELIGIBILITY, APPLICATION, AND ONGOING COMPLIANCE
4.1 You must be at least 18 years old (or the minimum age permitted by law and our onboarding process) and legally permitted to provide tutoring services in Singapore.
4.2 You must provide accurate, complete, and current information in your application and profile, and update it promptly when circumstances change.
4.3 You confirm you have the legal right to work or provide services in Singapore under your immigration and employment status, including any restrictions on self- employment or part-time work for pass holders and students.
4.4 You must not tutor subjects or levels for which you lack genuine competence and qualifications, or misrepresent credentials, experience, or results.
4.5 We may reject applications, request additional documents, limit visibility, suspend, or remove profiles at any time for failed verification, complaints, misrepresentation, safety concerns, poor reliability, or breach.
4.6 Approval or listing on the Platform does not constitute endorsement, certification, or guarantee of your services.
5. VERIFICATION — DISCLAIMERS
5.1 TutuTap may review identity, residency, qualifications, and other documents you submit. Any "verified" indicator reflects review at a point in time based on documents you provided.
5.2 Verification does NOT guarantee your identity, qualifications, criminal history, ongoing eligibility, safety, or future conduct. TutuTap does not warrant that documents are authentic, current, or complete despite review efforts.
5.3 Unless expressly stated for a specific programme, TutuTap does not conduct comprehensive background or criminal record checks.
5.4 You must notify TutuTap promptly if your eligibility to tutor changes (e.g. pass expiry, disciplinary action by your institution).
6. PROFILE, LISTINGS, AND REPRESENTATIONS
6.1 Your profile must be truthful, not misleading, and comply with Safety & Community Standards.
6.2 You must NOT:
6.3 Display names may differ from legal names as permitted by Platform settings, but verification and compliance processes may use your legal name.
6.4 Rates, packages, and policies you publish must be honoured or clearly communicated before confirmation with parents.
6.5 You grant TutuTap the licence to use profile content as described in the Terms of Use and Privacy Policy.
- (a) guarantee specific grades, PSLE results, exam scores, or school admission;
- (b) claim affiliations, degrees, or certifications you do not hold;
- (c) use another person's identity, photos, or materials without rights;
- (d) list rates that are deceptive or omit mandatory fees; or
- (e) publish parent or student identifying information without authority.
7. ABSOLUTELY NO GUARANTEES BY TUTUTAP
7.1 TUTUTAP MAKES NO GUARANTEES, WARRANTIES, OR REPRESENTATIONS REGARDING:

7.2 Referral bonuses, incentives, and promotional credits are subject to published programme rules and may be modified or discontinued without liability.
7.3 Past performance of other tutors on the Platform does not predict your results.
- (a) your tutor income, earnings, student count, enquiry volume, or booking
- (b) profile ranking, visibility, search placement, or algorithmic promotion;
- (c) parent responsiveness, payment timeliness, or lesson attendance;
- (d) academic outcomes for any student you teach;
- (e) lesson quality assessments, reviews, or ratings;
- (f) safety outcomes in lessons you conduct; or
- (g) continued availability of any Platform feature or fee structure.
8. ENQUIRIES, LESSONS, AND PROFESSIONAL CONDUCT
8.1 You may accept or decline enquiries at your discretion unless you have made a separate binding commitment to a parent.
8.2 You are responsible for agreeing lesson terms with parents: schedule, format, location, fees, cancellation, and materials.
8.3 You must communicate professionally, honour reasonable commitments, and deliver services with reasonable skill and care as an independent provider.
8.4 For online lessons, secure appropriate platforms and protect student privacy.
8.5 For in-person lessons, meet in safe, appropriate settings. Comply with safeguarding obligations in Safety & Community Standards.
8.6 You must not solicit parents or students for non-tutoring commercial activity, unlawful conduct, or off-Platform arrangements intended to evade fees or bypass safety systems without authorisation.
9. LESSON REPORTS AND RESPONSIVENESS
9.1 Where the Platform requires lesson reports or progress updates, you must submit accurate, professional reports within stated deadlines.
9.2 Failure to report, chronic unresponsiveness, or repeated cancellations may affect ranking, visibility, eligibility for incentives, or account status under published rules.
9.3 Lesson reports are informational for parents and Platform operations. They do not constitute TutuTap's endorsement of your teaching or guaranteed outcomes.
10. FEES — TUITION AND TUTUTAP SUBSCRIPTIONS
10.1 Tuition fees are agreed between you and parents. Unless a TutuTap payment feature applies, parents pay you directly. You are responsible for invoicing, receipts, and tax compliance on tuition income.
10.2 Tutor subscription fees (e.g. Pro plan) and other fees payable to TutuTap are separate from tuition and governed by Subscription Terms incorporated into the Terms of Use.
10.3 STRICT NO-REFUND POLICY: ALL FEES PAID TO TUTUTAP ARE FINAL AND NON- REFUNDABLE, except duplicate charge, proven billing error at TutuTap's sole discretion, or refund strictly required by law. No proration, no refunds for unused time, low enquiry volume, dissatisfaction, suspension for breach, or change of mind.
10.4 Subscriptions auto-renew unless cancelled before renewal. Cancellation stops future renewals only.
10.5 You authorise recurring charges for tutor plans. Failed payment may suspend paid features.
10.6 Circumventing TutuTap fees, referral rules, or verification through off- Platform deals solicited via the Platform may result in suspension and forfeiture of incentives.
11. REFERRALS, INCENTIVES, AND PROMOTIONS
11.1 Participation in referral or incentive programmes is optional and governed by published rules presented at opt-in.
11.2 Fraud, self-referral abuse, fake accounts, or misrepresentation forfeits rewards and may lead to permanent ban.
11.3 TutuTap may modify or terminate programmes at any time without liability for anticipated rewards.
12. CONDUCT, SAFEGUARDING, AND SAFETY
12.1 You must comply with Safety & Community Standards and all applicable laws regarding child protection and education.
12.2 You must safeguard minors in your care during lessons, avoid inappropriate communication, and report concerns through Platform channels or hello@tututap.com.
12.3 Prohibited conduct includes harassment, discrimination, exploitation, sharing explicit content, and misrepresentation.
12.4 TutuTap may investigate complaints and cooperate with authorities. We are not obligated to monitor all conduct.
13. INTELLECTUAL PROPERTY
13.1 TutuTap owns Platform software, branding, and databases. You receive a limited, revocable licence to use tutor features per these terms.
13.2 You retain ownership of original teaching materials you create, but grant TutuTap licence to materials you upload to profiles as described in Terms of Use.
13.3 Do not use TutuTap trademarks except as permitted in brand guidelines or with written consent.
14. DISCLAIMERS
14.1 Tutor features are provided "as is" and "as available" without warranties to the fullest extent permitted by law.
14.2 TutuTap disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement regarding tutor features and parent interactions.
15. LIMITATION OF LIABILITY
15.1 TO THE FULLEST EXTENT PERMITTED BY SINGAPORE LAW, TUTUTAP SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, TUTOR INCOME, OR BUSINESS OPPORTUNITY ARISING FROM YOUR USE OF TUTOR FEATURES OR PARENT RELATIONSHIPS.
15.2 WITHOUT LIMITING THE FOREGOING, TUTUTAP IS NOT LIABLE FOR PARENT NON-PAYMENT, LESSON DISPUTES, ACADEMIC OUTCOMES, PERSONAL INJURY IN LESSONS YOU CONDUCT, OR RELIANCE ON PLATFORM RANKINGS OR INCENTIVES.
15.3 SUBJECT TO APPLICABLE LAW, TUTUTAP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS TUTOR AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) S$100 OR (B) FEES PAID BY YOU TO TUTUTAP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
15.4 Nothing excludes liability that cannot be excluded under applicable law.
16. INDEMNITY
16.1 You agree to indemnify TutuTap and its officers, directors, employees, and agents against claims arising from your tutoring services, your profile and representations, your interactions with parents or students, your breach of this Tutor Agreement, immigration or work-pass violations, tax failures, or violation of law or third-party rights.
17. CHARGEBACKS AND PAYMENT DISPUTES
17.1 For fees charged by TutuTap, contact hello@tututap.com before chargebacks. Bad-faith chargebacks may result in suspension and recovery action.
17.2 Tuition payment disputes with parents are between you and the parent unless a TutuTap payment feature applies.
18. SUSPENSION, REMOVAL, AND TERMINATION
18.1 We may suspend, restrict visibility, or permanently remove your tutor account immediately for misrepresentation, safeguarding concerns, complaints, poor reliability, fee circumvention, breach, or any reason at our discretion.
18.2 You may stop using tutor features at any time. Termination does not entitle you to refunds of TutuTap fees under Subscription Terms.
18.3 Surviving provisions include IP licences to the extent necessary, disclaimers, liability limits, indemnity, and governing law.
19. FORCE MAJEURE AND ASSIGNMENT
19.1 TutuTap is not liable for delays or failures due to events beyond reasonable control, as described in the Terms of Use.
19.2 You may not assign this Tutor Agreement without TutuTap's written consent. TutuTap may assign as described in the Terms of Use.
20. CHANGES
20.1 We may update this Tutor Agreement and tutor programme rules. Continued use after posting constitutes acceptance where permitted.
21. GOVERNING LAW AND DISPUTES
21.1 This Tutor Agreement is governed by the laws of Singapore.
21.2 Disputes are subject to the Terms of Use dispute resolution provisions, including thirty (30) days good-faith resolution via hello@tututap.com before court proceedings (except urgent relief), and exclusive jurisdiction of the courts of Singapore.
