1. INTRODUCTION AND ACCEPTANCE
1.1 These Terms of Use ("Terms", "Agreement") govern your access to and use of the TutuTap website, parent application, tutor application, registration and onboarding flows, messaging tools, matching features, subscription checkout, support channels, and all related products and services (collectively, the "Platform"), operated by X Operators Group and its affiliates, subsidiaries, successors, and assigns ("TutuTap", "we", "us", or "our").
1.2 By accessing or using the Platform — including browsing tutor profiles, creating an account, submitting a tutor application, subscribing to a paid plan, clicking "I agree", "Accept", or similar, or continuing to use the Platform after notice of updated Terms — you agree to be bound by these Terms and all documents incorporated by reference in Section 2, to the fullest extent permitted by applicable law.
1.3 If you do not agree to these Terms, you must immediately cease accessing and using the Platform and close any account you may have created.
1.4 If you use the Platform on behalf of an organisation, you represent and warrant that you have authority to bind that organisation, and "you" includes that organisation.
2. INCORPORATED DOCUMENTS (UMBRELLA STRUCTURE)
2.1 These Terms are the main umbrella agreement for the Platform. All users are subject to these Terms regardless of role.
2.2 The following documents are incorporated into and form part of these Terms where applicable to you:

2.3 If there is a conflict between these Terms and an incorporated document, the document that is more specific to the matter at issue shall prevail to the extent of the conflict, unless we state otherwise in writing.
2.4 We maintain a Legal & Policies index at tututap.com/legal and /legal. That page is an index and navigation aid only and does not replace the standalone documents above.
2.5 Your continued use after publication of updated incorporated documents constitutes acceptance where permitted by law. Where renewed acceptance is required, we will present it through the Platform.

3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 You must be at least 18 years of age to create an account, subscribe to a paid plan, or enter into binding obligations on the Platform, unless you are a tutor applicant completing onboarding with valid consent and eligibility under applicable law.
3.2 Parents and guardians must be the child's parent or legal guardian, or have lawful authority to arrange tuition, provide information about the child, and consent to data processing as described in the Privacy Policy.
3.3 Tutors must be legally permitted to provide tutoring services in Singapore under their immigration status, employment restrictions, educational institution rules, and all applicable laws and regulations.
3.4 You must provide accurate, current, and complete registration information and promptly update it when it changes.
3.5 You are solely responsible for safeguarding your login credentials and for all activity occurring under your account, whether authorised by you or not. Notify us immediately at hello@tututap.com if you suspect unauthorised access.
3.6 We may refuse registration, limit features, require additional verification, suspend, or terminate accounts at our sole discretion for fraud, misrepresentation, risk, breach, inactivity, legal or regulatory concern, or operational reasons.
3.7 One person may not maintain multiple accounts to evade enforcement, fees, or restrictions without our prior written consent.
4. PLATFORM ROLE — MARKETPLACE ONLY
4.1 TutuTap operates an online marketplace and technology platform that facilitates discovery of, communication with, and arrangements between independent tutors and parents or legal guardians seeking tuition services.
4.2 TutuTap is NOT a tuition agency, school, educational institution, employer of tutors, joint venturer with tutors, franchise operator, or guarantor of academic, safety, or financial outcomes. Tutors are independent service providers, not employees, agents, or representatives of TutuTap.
4.3 Unless expressly stated in writing by TutuTap for a specific feature, TutuTap is not a party to tuition contracts, lesson agreements, payment arrangements, or disputes between parents and tutors.
4.4 Unless a specific payment, escrow, or collection feature is expressly offered, accepted by both parties, and enabled on the Platform, parents pay tutors directly. TutuTap does not collect, hold, or remit tuition fees on behalf of tutors and is not responsible for non-payment, overpayment, refunds of tuition, or payment method disputes between users.
4.5 Listings, search results, rankings, recommendations, matching algorithms, verification badges, background checks (if any), reviews, ratings, lesson reports, response-time metrics, and similar features are provided for convenience and informational purposes only. They do not constitute endorsement, warranty, certification, guarantee of quality, safety, legality, suitability, reliability, availability, or results.
4.6 TutuTap does not supervise lessons, control tutor teaching methods, set curricula, or guarantee that any tutor will accept an enquiry, respond within a particular time, or remain available.
5. ABSOLUTELY NO GUARANTEES
5.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TUTUTAP MAKES NO GUARANTEES, WARRANTIES, OR REPRESENTATIONS REGARDING:
performance, school admission, scholarship outcomes, or any measure of academic improvement;
conversion, profile visibility, ranking position, or business success;
attendance, or user satisfaction;
suitability of any tutor, parent, student, or lesson environment;
5.2 Any statements, marketing materials, blog posts, social media, or verbal communications that may suggest otherwise are disclaimed unless expressly set out in a signed written agreement authorised by an officer of X Operators Group
5.3 You acknowledge that tutoring involves inherent uncertainty and that results depend on many factors outside TutuTap's control.
- (a) academic grades, examination results, PSLE outcomes, O-Level or A-Level
- (b) tutor income, student count, enquiry volume, match quality, booking
- (c) lesson quality, teaching effectiveness, curriculum fit, punctuality,
- (d) safety outcomes, background of users, absence of misconduct, or
- (e) uninterrupted, error-free, or secure Platform operation; or
- (f) accuracy or completeness of user-generated content, profiles, or reviews.
6. SUBSCRIPTIONS, FEES TO TUTUTAP, AND PAYMENT
6.1 Certain Platform features require payment of subscription or service fees to X Operators Group, separate and distinct from tuition fees paid between users.
6.2 Fees, billing cycles, auto-renewal, taxes, cancellations, and refunds for TutuTap subscriptions are governed by the Subscription Terms incorporated in Section 2 and checkout disclosures at purchase, which are part of these Terms.
6.3 STRICT NO-REFUND POLICY: ALL SUBSCRIPTION AND PLATFORM FEES PAID TO TUTUTAP ARE FINAL AND NON-REFUNDABLE, except for the narrow exceptions stated in the Subscription Terms (duplicate charge, proven billing error at TutuTap's sole discretion, or refund strictly required by law that cannot be excluded by contract). No proration, no refunds for unused time, dissatisfaction, forgotten cancellation, or change of mind.
6.4 You authorise TutuTap and its payment processors to charge your designated payment method for applicable fees, renewals, taxes, and charges. Failed payment may result in suspension, downgrade, or termination of paid features.
6.5 Price changes apply to future billing periods as disclosed at checkout or as required by law. Continued use after a price change constitutes acceptance where permitted.
7. ACCEPTABLE USE AND USER CONDUCT
7.1 You must comply with these Terms, all incorporated documents (including Safety & Community Standards), and all applicable laws and regulations.
7.2 You must not:

TutuTap personnel;
expressly permit;
activity.
7.3 We may investigate suspected violations and cooperate with law enforcement. We are not obligated to monitor all conduct or content.
- (a) misuse the Platform, interfere with its operation, or attempt unauthorised
- (b) harass, threaten, discriminate against, defame, or abuse other users or
- (c) post unlawful, misleading, infringing, or harmful content;
- (d) misrepresent identity, qualifications, affiliation, or outcomes;
- (e) guarantee grades, exam results, or admission in profiles or messages;
- (f) circumvent fees, verification, messaging limits, or enforcement;
- (g) scrape, crawl, or harvest data without our prior written consent;
- (h) use automated means to create accounts or send messages except as we
- (i) introduce malware or engage in fraud or payment abuse;
- (j) use the Platform for any purpose other than lawful tutoring marketplace
8. USER CONTENT AND INTELLECTUAL PROPERTY
8.1 The Platform, including its software, design, branding, logos, databases, algorithms, and TutuTap-created content, is owned by TutuTap or its licensors and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
8.2 You retain ownership of content you submit ("User Content"), including profiles, photos, messages, reviews, and documents, subject to rights you grant below and obligations under these Terms.
8.3 You grant TutuTap a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to use, host, store, reproduce, modify, adapt, publish, display, distribute, and create derivative works from User Content for the purposes of operating, verifying, moderating, promoting, analysing, improving, and securing the Platform, enforcing these Terms, and as described in the Privacy Policy. This licence survives account termination to the extent necessary for legal compliance, dispute resolution, backups, and legitimate business records.
8.4 You represent and warrant that you own or have all rights necessary to submit User Content and that it does not violate any law or third-party rights.
8.5 Feedback you provide may be used by TutuTap without restriction or compensation.
8.6 TutuTap names, logos, and marks may not be used without prior written consent except as permitted by applicable law or brand guidelines we publish.
9. VERIFICATION AND BACKGROUND CHECKS — DISCLAIMERS
9.1 TutuTap may offer identity, qualification, residency, or other verification steps. Any "verified" badge, checkmark, or similar indicator reflects review at a point in time only based on information and documents submitted by the user.
9.2 Verification does not guarantee identity, qualifications, criminal history, suitability, safety, ongoing compliance, or future conduct. Documents may be forged, outdated, or incomplete despite our efforts.
9.3 TutuTap does not conduct comprehensive background checks unless expressly stated for a specific programme, and even then such checks are limited and not guaranteed to detect all risks.
9.4 Parents and tutors remain solely responsible for their own due diligence, including interviews, reference checks, and safeguarding measures appropriate to the child's age and lesson format.
10. THIRD-PARTY SERVICES AND LINKS
10.1 The Platform may integrate or link to third-party services (payment processors, video conferencing, analytics, app stores). Those services are governed by their own terms and privacy policies.
10.2 TutuTap is not responsible for third-party services, their availability, security, or practices.
11. DISCLAIMERS
11.1 THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
11.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TUTUTAP DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
11.3 We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Platform is free of viruses or harmful components.
11.4 We do not warrant the conduct of any user, the outcome of any lesson, any payment between users, or the reliability of any information on the Platform.
12. LIMITATION OF LIABILITY
12.1 TO THE FULLEST EXTENT PERMITTED BY SINGAPORE LAW, TUTUTAP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 WITHOUT LIMITING SECTION 12.1, TUTUTAP SHALL NOT BE LIABLE FOR ACTS OR OMISSIONS OF TUTORS, PARENTS, STUDENTS, OR OTHER USERS; LESSON INJURIES OR DISPUTES; TUITION NON-PAYMENT; ACADEMIC OUTCOMES; OR RELIANCE ON USER CONTENT.
12.3 SUBJECT TO SECTION 12.5, TUTUTAP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) S$100 (SINGAPORE DOLLARS ONE HUNDRED) OR (B) THE TOTAL FEES PAID BY YOU TO TUTUTAP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12.4 Multiple claims shall not enlarge this cap. The cap applies collectively to all claims by you and anyone claiming through you.
12.5 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including fraud or liability for death or personal injury caused by negligence where such limitation is prohibited).
13. INDEMNITY
13.1 You agree to defend, indemnify, and hold harmless TutuTap and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
13.2 TutuTap may assume exclusive defence and control of any matter subject to indemnification, and you agree to cooperate. You may not settle any matter without TutuTap's prior written consent.
- (a) your access to or use of the Platform;
- (b) your User Content;
- (c) your interactions with other users, including lessons and payments;
- (d) your breach of these Terms or any incorporated document;
- (e) your violation of law or third-party rights; or
- (f) any misrepresentation made by you.
14. CHARGEBACKS AND PAYMENT DISPUTES
14.1 For fees charged by TutuTap, you agree to contact hello@tututap.com and attempt good-faith resolution before initiating a chargeback, payment reversal, or similar dispute with your bank or card issuer.
14.2 Fraudulent, abusive, or bad-faith chargebacks may result in immediate suspension, permanent ban, forfeiture of subscription benefits without refund, and recovery action including collection costs and legal fees where permitted.
14.3 Tuition payment disputes between parents and tutors are solely between those parties unless a TutuTap payment feature expressly applies.
15. SUSPENSION, TERMINATION, AND SURVIVAL
15.1 We may suspend, restrict, or terminate your access to the Platform or any account immediately, with or without notice, for breach, risk, fraud, legal or regulatory compliance, non-payment, or any other reason at our sole discretion.
15.2 You may stop using the Platform at any time. Cancelling a subscription stops future renewals only and does not entitle you to a refund under the Subscription Terms.
15.3 Upon termination, your right to use the Platform ceases. We may delete or retain data as described in the Privacy Policy and as required by law.
15.4 Sections that by their nature should survive termination shall survive, including Sections 2 (incorporated documents as to accrued obligations), 5, 8.3, 11, 12, 13, 16, 17, 18, 19, and 20.
16. FORCE MAJEURE
16.1 TutuTap shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, government action, power or internet failures, labour disputes, or third-party service outages.
16.2 During force majeure, obligations may be suspended for the duration of the event. We may terminate affected services where recovery is not reasonably practicable.
17. CHANGES TO TERMS AND PLATFORM
17.1 We may modify the Platform, features, pricing, and these Terms (including incorporated documents) at any time. Updated versions will be posted with a new "Last updated" date.
17.2 Material changes may require renewed acceptance or additional notice where required by law. Your continued use after the effective date constitutes acceptance where permitted.
17.3 We may discontinue any part of the Platform at any time without liability.
18. ASSIGNMENT
18.1 You may not assign or transfer these Terms or your account without TutuTap's prior written consent.
18.2 TutuTap may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets, or to an affiliate, without your consent. These Terms bind successors and permitted assigns.
19. GOVERNING LAW, DISPUTE RESOLUTION, AND SEVERABILITY
19.1 These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles.
19.2 Subject to Section 19.3, the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and each party irrevocably submits to that jurisdiction.
19.3 MANDATORY PRE-DISPUTE PROCESS: Before commencing any court proceedings (other than urgent injunctive or equitable relief), the party raising a dispute must send a written notice to hello@tututap.com describing the dispute in reasonable detail. The parties shall attempt to resolve the dispute in good faith for thirty (30) days from receipt of that notice. This requirement does not limit either party's right to seek urgent injunctive relief where necessary.
19.4 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent, or severed if modification is not possible.
19.5 No waiver of any term shall be deemed a further or continuing waiver. Our failure to enforce any right is not a waiver.
19.6 These Terms constitute the entire agreement between you and TutuTap regarding the Platform and supersede prior oral or written understandings on that subject, except for any signed written agreement expressly referencing and superseding these Terms.
20. GENERAL
20.1 Headings are for convenience only and do not affect interpretation.
20.2 "Including" means "including without limitation".
20.3 Notices to you may be sent to the email associated with your account or through in-app messages. Notices to TutuTap must be sent to hello@tututap.com with subject line "Legal Notice — Terms of Use".
20.4 Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and TutuTap.
